Procedures for changing the company name

Step 1: Prepare documents to change the company name as follows:

  • Certificate of business registration

  • Certificate of investment registration (for enterprises with investment projects).

Procedures for changing company address

  • Company address change in the same district

When changing the company address in the same district, there is no need to transfer tax records.

Step 1: Prepare a set of documents to change the company's address on the license
Records include:

  • Notice of changing company address in the same county

  • Decision to change company address.

  • Meeting minutes of Board of Directors / Board of Directors if it is a two-member limited liability company, partnership or joint stock company.

Step 2: Submit the application

  • Power of attorney - Needed in the case that the legal representative is not directly filed by the company

  • Notice on the use of a new seal - Because the seal has the district address, when changing the address to another district, it is necessary to have the seal engraved.

2. Place of filing and when to return results change company address to different county

  • Place of submission: Submit directly to the Department of Planning and Investment of the province where the company is located

  • Time to return results: Within 03 working days from the date of submitting a valid application at the Department of Planning and Investment, you will receive a Business License to recognize the new address of the company.

Note: For the change of address to different districts, the company's new seal must be engraved and a notice posted on the Department of Planning and Investment about the use of the new seal.

Step 2: Make the profile to change the tax's address

  • Businesses must submit documents to transfer districts to the old district tax offices and the new districts

Records include:

  • Form No. 08- MST issued with the Circular No. 95/2016 / TT-BTC dated June 28, 2017 of the Ministry of Finance

  • Power of attorney - Needed in the case that the legal representative is not directly filed

  • 02 new business license copies of the company (some districts require a new business license notarized, some districts only need a photocopy, so prepare a notarized copy is best)

Procedures for supplementing and changing business lines

Step 1: Prepare the composition of the profile

Notice of changes in business registration contents (Appendix II-1, Circular No. 02/2019 / TT-BKHDT);

Decision of the company owner, for one-member limited liability companies on the addition or change of business lines;

For an enterprise that is granted an investment license, investment certificate or papers of equivalent legal validity, in addition to the above-mentioned papers, the enterprise shall enclose: a valid copy of the investment certificate. ; Valid copy of Tax Registration Certificate; The written request for supplementation and update of business registration information is specified in Appendix II-18 of Circular No. 02/2019 / TT-BKHDT.

Note: The decision and minutes of meeting must clearly state the changed contents in the company's charter.

Step 2: Submit the application

Submit your application at the Business Registration Office, Department of Planning and Investment of the province where your business is registered within 10 days from the date of change. (Attached to the documents mentioned in step 1)

An enterprise or an authorized representative shall submit an application directly at the Business Registration Office where it is headquartered or online according to the process on the National Business Registration Portal.

Step 3: Get results

Processing time: Within 03 (three) working days from the date of receipt of complete and valid dossiers.

In case the dossier is not valid, the Business Registration Office shall notify the enterprise of the amendment and supplementation within 03 working days.

Enterprises are responsible for notifying the changes or additions of business lines to the Business Registration Office within 10 working days from the date of change. In case there is a change but the enterprise does not notify, it will be sanctioned according to the provisions of law on sanctioning of administrative violations in the field of planning and investment.
