Rules and procedures for marking circle when establishing a company

After completing the registration of company establishment and having a business registration license, the next thing that needs to be done is to carry out the procedure to engrave the seal and notify the seal sample to the company.

From July 1, 2015, the Enterprise Law 2014 took effect, which is also the time to start applying the State management mechanism for the company's seal which has changed towards openness, creating more favorable conditions for companies .

Instead of having to register the seal sample with the police as before, now the company is fully active in making the seal. The company can engrave its own seal or go to the stamping establishment to make a seal.

Before using the seal, the company just needs to send a notice of the seal sample to the business registration agency for public posting on the National Portal of Business Registration. The purpose of this regulation is to make the company's seal publicly available to the society and third parties.

Procedures for notifying the seal sample to the business registration office

Step 1: Prepare the profile

The composition of the dossier for notification of the enterprise's seal sample includes:

1. Notice of the enterprise's use of the seal sample (Appendix II-8)

2. An application form.

3. Index records (recorded in the order above).

4. Document cover (made of thin paperboard or hard nylon with no words used for other purposes).

Step 2: After preparing the above documents, the enterprise will proceed to submit the application at the Business Registration Office

Step 3: Receive the notification dossier on the seal sample, the Business Registration Office gives the receipt to the enterprise and publishes the notice of the business on the National Portal of Business Registration and Issuing Notice on posting information about the seal sample of the enterprise.

Some notes about the enterprise seal template

1. Quantity: optional. (decided by the business).

2. Seal sample: form, size, content and ink color. (Each business must agree on the form, content and size of its seal)

- Appearance: circle, polygon or other shape.

3. Images and languages ​​are not used in the content of the seal sample

- National Flag, National Emblem, Party Flag of the Socialist Republic of Vietnam.

- Images, symbols, names of the state, state agencies, people's armed forces units, political organizations, socio-political organizations, socio-political-professional organizations, social organizations associations, professional social organizations.

- Words, symbols and images violate the historical, cultural, ethical and traditional traditions of the Vietnamese nation.

Enterprises must ensure by themselves about the legality of the seal sample. The business registration agency is not responsible for verifying the content of the seal sample of the enterprise when handling the procedures for notifying the seal sample to the enterprise.

4. Regulations on seal sample for businesses that were established before July 1, 2015

- If you continue to use the issued seal, you can continue using it without having to notify the seal sample to the Business Registration Authority.

- If the enterprise wants to add more seal or change the color of seal ink, the procedure for announcement of seal sample is carried out as guided above.

- If the enterprise renews its seal, it must return the seal and the seal sample registration certificate to the police station where the seal sample registration certificate was issued. The police agency that issued the receipt has received its seal at the time of its re-receipt of the enterprise's seal.

- If the seal is lost or the seal sample registration certificate is lost, the enterprise may make a new seal, and at the same time, must notify the loss of its seal or seal sample registration certificate to the police office where it was issued. Seal registration certificate.
