1. What is a business license?

🔅 A business license is a separate license for individuals and businesses to operate in a number of fields that require the management of related parties. According to the provisions of the Enterprise Law 2014, domestic enterprises will not be restricted in terms of industries and professions that are allowed to register for business licenses. Except for the case where the unit records the business of conditional lines and trades.

2. Information on the business license:

✔ Name, code, address of the head office, branch, and representative office of the enterprise.

✔ Full name, address, nationality, and citizen identification number (passport or other lawful personal identification) of the legal representative of the enterprise.

✔ Full name, address, nationality, and citizen identification number (passport or other lawful personal identification) of a company member or founding shareholder.

✔ Charter capital for limited liability companies as well as partnerships.

✔ Number of shares, the value of contributed share capital, and the number of shares authorized to be offered for sale (for joint stock companies).

✔ Initial investment capital if this is a private enterprise.

✔ Legal capital for enterprises engaged in specific business lines.

✔ Industry and scope of business activities of the enterprise.

✔ Establishment decision number or business registration number of the business owner.

✔ Goods, services, products in the field of business.

✔ Certificate of eligibility to conduct business activities.

3. Types of current business licenses:

🔰 Investment registration certificate.

🔰 Certificate of Business Registration – records information about the establishment registration of the unit.

🔰 Business license for specific fields.

🔰 Registration certificate of branches, representative offices, warehouses.

4. Subjects granted business licenses:

4.1. Organizations of domestic enterprises doing business with conditions:

🔗 A domestic business organization, if it registers a conditional business line, must fully satisfy the business conditions of that line of business to be allowed to do business.

🔗 Conditional business lines such as:

➤ Liquor retailers must obtain a retail liquor license.

➤ Food business establishments, cafes, and restaurants must apply for a certificate of eligibility for food safety.

4.2. Foreign-invested economic organizations:

🔗 According to the provisions of Clause 1, Article 5 of Decree 09/2018/ND-CP, business licenses are granted to foreign-invested economic organizations that carry out the following activities:

➤ Exercising the right to retail and distribute goods, except for rice; sugar; recorded items; books, newspapers, and magazines;

➤ Exercising the right to import and wholesale distribution of goods being lubricating oils and greases;

➤ Exercising the right of retail distribution of rice; sugar; recorded items; books, newspapers, and magazines;

➤ Provide logistics services; except for logistics service sub-sectors to which Vietnam has committed to open the market in international treaties to which Vietnam is a member;

➤ Leasing of goods, excluding financial leasing; except for rental of construction equipment with operators;

➤ Providing trade promotion services, excluding advertising services;

➤ Providing commercial intermediary services;

➤ Providing e-commerce services;

➤ Providing services of organizing tenders for goods and services.
